Terms And Conditions
Orion PR is delighted to present our Terms and Conditions, governing the services we offer. These Terms and Conditions, along with the provided Quote/Production Estimate, constitute the contract between Orion Digital and you for the delivery of our services.
1. Our Role:
1.1. Service Description: Orion PR commits to delivering the services outlined in the Quote/Production Estimate. As projects evolve, any necessary changes to the scope of work will be discussed promptly to agree on variations to the Services and the Quote/Production Estimate.
1.2. Collaboration: Effective collaboration is crucial. Orion PR’s work may rely on timely information provided by you or your advisers. Unless notified otherwise, we assume all information is accurate and complete.
1.3. Incidentals: Client bears the cost of couriers or printed proofs from external printers if needed.
1.4. Termination: If the contract is terminated after work commencement, you will be invoiced for completed work.
1.5. Force Majeure: Orion PR is not liable for delays or failures beyond our reasonable control.
2. Payment Terms:
2.1. Settlement: Invoices are due within 14 days of the invoice date, payable via bank transfer. Ownership of work remains with Orion Digital until full payment is received.
2.2. Specialist Services: Third-party costs, like photography or video production, are not included in our estimate and will be quoted separately.
3. Scoping:
3.1. Scoping Document: Orion PR provides a scoping document detailing project functionality. Changes beyond the scope require approval and will be priced separately.
4. Content:
4.1. Responsibilities: You are responsible for providing accurate business information. Errors in supplied content are your responsibility, and additional charges may apply for changes.
4.2. Image Specifications: Images, charts, and graphs should be provided in specified formats. High-resolution images are required for print purposes.
4.3. Image Ownership: We assume all supplied images are owned by you or licensed for use.
4.4. Permissions: You grant Orion permission to use logos and company identity. You indemnify Orion from claims arising from content copyright issues.
5. Confidentiality:
5.1. Confidentiality: OrionPR maintains confidentiality unless permitted by you or circumstances are public. Disclosure to relevant parties may occur for effective service provision.
6. Intellectual Property:
6.1. Idea Usage: Orion PR may use ideas or concepts developed during service provision for other clients.
6.2. Ownership: Upon full payment, materials become your property, except for reserved intellectual property rights.
6.3. Portfolio Rights: Orion PR retains the right to showcase projects for promotional purposes.
6.4. Working Files: Working files remain Orion PR property unless specifically released upon request.
7. Indemnity:
7.1. Lawful Use: Services must be used for lawful purposes. You indemnify Orion PR from claims resulting from service use.
8. Liability:
8.1. Limitation: Our liability is limited to the total price paid. We are not liable for indirect or consequential losses.
9. Variation:
9.1. Changes: These Terms and Conditions can be varied by written agreement without affecting existing rights or obligations.
